Introduction and Agreement

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sayr ("Company," "we," "us," or "our"). By downloading, installing, accessing, or using the Sayr application, website, and related services ("Services"), you agree to be bound by these Terms, our Privacy Policy, and all applicable laws. If you do not agree to these Terms, do not use Sayr. We reserve the right to modify these Terms at any time. Continued use of Sayr after modifications constitutes acceptance of the updated Terms.

1. Eligibility and User Responsibilities

• •• Attempt to reverse-engineer, decompile, disassemble, or hack the App.

• •• Interfere with or disrupt the operation of Sayr servers or networks.
• •• Collect or scrape data from the App without permission.
• •• Use automated tools, bots, or scripts to access the App.
• •1.5 Account Security: If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

2. Route Information Accuracy Disclaimer

• •2.1 No Guarantee of Accuracy: Sayr strives to provide accurate, timely, and reliable route and transit information. However, we do NOT guarantee the accuracy, completeness, currency, or reliability of any route, schedule, or transit data.
• •2.2 Information As-Is: All route information is provided "AS IS" without warranty of any kind, express or implied.
• •2.3 Always Verify: Users should ALWAYS verify critical travel information directly with the relevant public transportation authority or provider before relying on route suggestions.
• •2.4 Schedule Changes: Transit schedules, routes, and service availability are subject to change without notice. Sayr is not responsible for delays, cancellations, or changes announced by transit operators.
• •2.5 User Responsibility: Users are solely responsible for determining the suitability of any suggested route for their needs.

3. Transit Data and Third-Party Information

• •3.1 Third-Party Data: Sayr aggregates transit information from various third-party sources, including government transit agencies, mapping services, and public databases.
• •3.2 No Endorsement: Sayr is not affiliated with, endorsed by, or partnered with any public transportation authority, operator, or transit provider.
• •3.3 No Responsibility: We are not responsible for the accuracy, timeliness, completeness, or reliability of transit data provided by third parties.
• •3.4 Data Attribution: All public transit data is credited to its respective authorities and providers. We comply with open data licenses (e.g., GTFS) and provide appropriate attribution.
• •3.5 Data Delays: Real-time transit information may be delayed. Do not rely solely on Sayr for time-critical decisions.

4. User Conduct and Safety

• •4.1 Personal Safety: Users are solely responsible for their safety and security while using public transportation.
• •4.2 No Distracted Use: Do not use Sayr while driving or in any way that could distract you from your surroundings or violate traffic laws.
• •4.3 Follow Local Laws: Always follow local traffic laws, transit regulations, safety guidelines, and the instructions of transportation operators.
• •4.4 Route Appropriateness: Users are responsible for evaluating whether a suggested route is appropriate for their circumstances, abilities, and needs.
• •4.5 Emergency Services: Sayr is not an emergency service. In case of emergency, call local emergency services (911 in the US).

5. Ads and Third-Party Services

• •5.1 Advertising: Sayr may display advertisements from third-party advertising networks.
• •5.2 Ad Partners: Third-party advertisers may independently collect your advertising ID, device information, and usage data to show relevant ads. These partners operate under their own privacy policies.
• •5.3 No Endorsement: Advertisements within Sayr do not constitute our endorsement of any product, service, company, or claim made in the ad.
• •5.4 User Responsibility: You are solely responsible for your interactions with advertisers and third-party services.
• •5.5 Third-Party Terms: Links or services provided by third parties are governed by their own terms and privacy policies, which we encourage you to review.
• •5.6 Third-Party Failures: We are not responsible for the functionality, content, accuracy, or practices of third-party services or advertisers.

6. Intellectual Property

• •6.1 Ownership: All content, design, code, functionality, features, branding, materials, and intellectual property within Sayr are owned by or licensed to the Company and protected by copyright, trademark, and patent laws.
• •6.2 Limited License: You are granted a limited, non-exclusive, non-transferable license to use Sayr for personal, non-commercial purposes only.
• •6.3 Restrictions: You may not:
• •• Reproduce, copy, modify, or create derivative works from any Sayr content without permission.
• •• Distribute, transmit, display, perform, or publish any Sayr content.
• •• License, sublicense, or transfer any Sayr content.
• •• Reverse-engineer or attempt to extract the source code of Sayr.
• •6.4 User-Generated Content: If you submit content to Sayr (feedback, screenshots, suggestions), you grant us a royalty-free license to use, reproduce, and distribute it.

7. Limitation of Liability

• •7.1 DISCLAIMER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAYR, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR:
• •• Any indirect, incidental, special, consequential, or punitive damages.
• •• Lost profits, lost revenue, lost data, or business interruption.
• •• Personal injury or property damage arising from your use of Sayr.
• •• Any damages resulting from inaccurate route information or transit delays.
• •• Any damages caused by third-party advertisers or services.
• •• Any malfunction, deletion, or loss of data due to bugs, viruses, or malware.
• •7.2 Cap on Liability: Our total liability to you for any claim arising from these Terms or your use of Sayr shall not exceed the amount you paid us in the twelve (12) months prior to the claim, or USD $100, whichever is less.
• •7.3 Applicable Restrictions: Some jurisdictions do not allow disclaimers of certain implied warranties or limitations of liability. To the extent permitted by applicable law, these limitations apply.

8. Indemnification

You agree to indemnify, defend, and hold harmless Sayr, its affiliates, directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (i) your use of Sayr, (ii) your violation of these Terms, (iii) your violation of applicable laws, or (iv) your infringement of any third-party rights.

9. Termination

• •9.1 Our Right to Terminate: We reserve the right to terminate or suspend your access to Sayr at any time, with or without cause, and with or without notice.
• •9.2 Cause for Termination: We may terminate your account if you violate these Terms, engage in prohibited activities, or violate any applicable law.
• •9.3 No Liability: We are not liable for any damages resulting from termination of your access.
• •9.4 Survival: Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.

10. "As-Is" Service

• •10.1 NO WARRANTIES: SAYR IS PROVIDED ON AN "AS-IS," "AS-AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND.
• •10.2 DISCLAIMERS: WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT, AND ACCURACY.
• •10.3 NO GUARANTEES: WE DO NOT GUARANTEE THAT SAYR WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY FREE FROM VIRUSES OR MALWARE.
• •10.4 ASSUME ALL RISK: YOU ASSUME ALL RISK RELATED TO YOUR USE OF SAYR.

11. Governing Law and Dispute Resolution

• •11.1 Governing Law: These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles.
• •11.2 Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts in the applicable jurisdiction (Specify: your state/country).
• •11.3 Informal Resolution: Before pursuing legal action, we encourage you to contact us at support@sayr.app to informally resolve any disputes.
• •11.4 Arbitration Option: Some jurisdictions allow arbitration as an alternative to litigation. Users may opt into arbitration by contacting us.
• •11.5 Attorney Fees: In the event of litigation, the prevailing party may recover reasonable attorney fees and costs.

12. Privacy and Data Protection

• •13.4 No Ad-Free Version Guarantee: We do not guarantee an ad-free version will be available.
• •13.5 Future Changes: We reserve the right to introduce paid features or change the ad structure at any time.

14. Changes to Terms and Services

Sayr may be subject to export restrictions and controls. You agree not to export or re-export Sayr to countries subject to U.S. trade embargoes or to entities listed on U.S. government prohibited parties lists. You are responsible for complying with all applicable export laws and regulations.

16. No Assignment

You may not assign or transfer these Terms or your rights under this agreement to any third party. Any attempt to do so is void. Sayr may assign these Terms to affiliates or in connection with a merger, acquisition, or sale of assets.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other documents we reference, constitute the entire agreement between you and Sayr and supersede all prior negotiations, representations, and agreements, whether written or oral.

18. Severability

If any provision of these Terms is deemed invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions will remain in full force and effect.
